Terms of Use.

These terms of website use (The "Terms") govern the use of this VinumVersa Limited’s (“Our”/”We”/”Us”) website and app (“the Platform”). Please read these terms carefully. Do not use (or continue to use) the Platform if you do not agree to the Terms.

We are an international platform and facilitator for the sale and exchange of collectors’ wine held in bonded warehouses. By using the Platform, you agree to be bound by these Terms.

  1. USE OF THE VINUMVERSA PLATFORM

If you are not over the age of eighteen or if you are visiting the Platform from a country where the sale of alcohol is not permitted or where internet sales are not permitted, you are a prohibited User and you must leave this Platform immediately.

You alone are responsible for complying with the laws of the country in which you are located. If you are unsure about the law in the country where you are located, then please leave this site and check the legal position before continuing.

If We receive notice or reasonably believe that you are under the age of eighteen or are otherwise prohibited from using this Platform by the laws of your country We will delete your account without notice and delete all information that you have given Us

You may use this Platform as an Unregistered or a Registered User. You are a Registered User if you have has completed Our account form and provided at least the minimum information We ask for which is a Username and email address.

If you wish to execute a transaction via this Platform you must be a Registered User and We may ask you to provide Us with further information about yourself before permitting you to make a purchase. The information required is set out in our Terms of Use. 

When you execute a transaction, you will be bound by Our Terms of Sale here, in addition to these terms, Our privacy policy and Our community policy.

Whether you register as a User or not and whether you intend to make a purchase or not, by using this Platform you agree to be bound by Our Privacy Policy, Our Cookie Policy and Our Community Policy in addition to these Terms. You agree not to use the Platform to send or post any message or material that is unlawful, harassing, defamatory, abusive, indecent, threatening, harmful, vulgar, obscene, sexually-orientated, racially offensive, profane, pornographic or violates any applicable law and you hereby indemnify Us against any loss, liability, damage or expense of whatever nature which We or any third party may suffer which is caused by or attributable to, whether directly or indirectly, your use of the Platform.

  1. YOUR INFORMATION

Subject to Our Privacy Policy:

If you use the Platform as an Unregistered User the only data We collect is in accordance with Our Cookie Policy here.

If you register (create an account) to use the Platform you may provide Us with the  certain information including: the mandatory minimum information: Username and password and the information you volunteer: name, billing address, delivery address, payment card details. If you register to use the Platform with your Facebook or Google Account you will also authorise Us to access your basic user-profile application with them including your profile picture. You may also authorise Us to have access to your geo-location. 

Personal information which you submit to the Platform will be held and processed by Us in accordance with Our Privacy Policy. We reserve the right to change Our Privacy Policy at any time. Please click here to see the current policy.

  1. LIMITS TO OUR LIABILITY

Your use of the Platform is at your own risk (save in the case of personal injury or death). 

We are a provider of the Platform only. It is provided without any warranties or guarantees. We do not necessarily perform and We do not warrant any background check or qualification or approval procedure, system or process towards any Users and/or any content provided by any User of the Platform, even if the User has provided that information to Us first before it is posted to the Platform. We are a platform for wine trading and not a publisher, editor, critic or commentator.

Access to the Platform may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond Our control.

While We endeavour to ensure that the Platform is available 24 hours a day (except during scheduled maintenance and updates), We shall not be liable if for any reason this Platform is unavailable at any time or for any period.

While We make makes reasonable attempts to exclude viruses or other destructive computer codes from the Platform, We do not accept any obligation, give no assurance and assume no liability or responsibility (whether express or implied) in relation to viruses or such computer code. You should take all appropriate safeguards before using the Platform or downloading from it.

We will not be liable (directly or indirectly) and will not accept liability for errors on the Platform, or underlying software, the services or any information provided by Users. The Platform and all its functionalities are provided to the User “as is”.

Your access to the Platform, your ability to participate in all or certain parts of the Platform and your registration may be terminated by Us at any time without notice and without any liability.

We will not be liable (directly or indirectly) and will not accept liability for any losses and damages resulting from communications between Users or any third party via the Platform.

We will not be liable (directly or indirectly) and will not accept liability for loss or damage of whatever nature arising from or in connection with your access to or use of or reliance on the Platform, regardless of whether such loss or damage would arise in the ordinary use of the Platform or otherwise, is reasonably foreseeable or is caused by any error or omission in the Platform (whether negligent or not), except that nothing affects any liability of VinumVersa, its associated companies and their officers, directors, employees, shareholders or agents of any of them for death or injury caused by their negligence or any other liability which may not be excluded or limited by law.

We will not be liable for any failure to meet Our obligations occasioned by circumstances beyond Our reasonable control.

All limitations on Our liability will survive termination of your account or registration with or on the Platform and any other termination or prohibition of your use of it.

If any provision of these terms and conditions is held by a court or other competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these terms and conditions and the remainder of the provision in question shall not be affected.

THIRD-PARTY MATERIALS

We are not responsible for the contents of any website or application operated by a third party which may be accessed via this Platform (including the payment application within this Platform, which is owned and operated by MangoPay Limited, contact details available on request).

All external links on the Platform are provided for your convenience only and do not imply that We approve or recommend the content or destination so linked.

THIRD-PARTY INFORMATION

Much of the content on the Platform is provided by Our Registered Users. We do not accept any obligation, give no assurance and assume no liability or responsibility (whether express or implied) concerning any content provided by any User, even if We have posted that content to the Platform Ourselves on behalf of the User. 

WE EMPHASISE that We offer no warranty, explicit or implied, regarding the accuracy of any information, commentary, reviews or promotions concerning the wines advertised, marketed, offered for sale or otherwise posted on, to or using the Platform.

EXCEPTIONAL LIABILITY

If in We should be found liable to a User, We expressly exclude liability for indirect loss and any liability (whether direct or indirect) for loss of data, revenue, profit or opportunity. The maximum extent of Our liability is (Our liability is capped at) £1,000 – save in the case of personal injury or death caused by Our negligence.

  1. INTELLECTUAL PROPERTY

    1. The VinumVersa name, logo, corporate symbols and trademarks are the sole property of VinumVersa Limited, and no permission is given in respect of their use. The Platform and its contents are protected by the UK and international copyright laws and other intellectual property rights. Unless otherwise indicated, VinumVersa Limited is the owner of the copyright and all other intellectual property rights in the Platform and its contents. Save as set out below, no part of the Platform may be reproduced, modified, copied or used for any commercial purpose without the prior written permission of VinumVersa.

    2. You may retrieve and display the content of the Platform on a computer screen or mobile device, or print one copy of its content (including the Terms and Conditions of Sale and any order confirmation) for your personal use, provided you keep intact all and any copyright and proprietary notices.

  2. PRICING, PAYMENT, PAYMENT TERMS & DISPUTE RESOLUTION

All transactions via the Platform are subject to Our Terms and Conditions.

Prices shown are for wine in bonded storage and do not include any taxes payable should the wine be moved out of bonded storage. You are responsible for calculating and paying any taxes that may become due should you remove the wine from bonded storage.

All wines offered for sale must be from a UK recognised bonded warehouse. We accept no responsibility for the condition of wines sold beyond that assurance. Your right of recourse in the event of misdescription or misrepresentation is against the seller of the wines.

By inputting an order that remains on the Platform at the time the Matching Event closes, you agree to enter into a binding contract between you and the seller or purchaser of the wine specified, should a counterparty be found. In the unlikely event of an incorrect price being displayed on the Platform, we reserve the right to correct the price. Where We discover an error in the price of any wine that you have ordered, We will not be obliged to proceed with your order and We will endeavour to inform you of the error and the correct price as soon as possible. In these circumstances, you will not be bound to continue with your purchase or sale. We will ask you to email Us to confirm that you wish to proceed at the corrected price within a stated time. In the event that you reply that you do not wish to proceed at the corrected price, do not reply within the stated time, or if We are unable to contact you, then We will cancel the order. In no circumstances will We be obliged to proceed with your purchase/sale of wine at an incorrect price, even if We have accepted your order for wines displayed at the incorrect price and/or failed to inform you of the error.

All sales must be fulfilled by you in accordance with the VinumVersa Terms that all wines offered for sale must have been kept in a UK Bonded Warehouse following their release from the wine producer. If you give incorrect information or misrepresent your wines, you may be liable to provide compensation for that misdescription or misrepresentation.

  1. WINE STORAGE

Users of the Platform have sole responsibility for storage of any wines traded or exchanged on the Platform, unless they indicate whilst completing the purchase process that they wish to open a VinumVersa sub account in their name with London City Bond. Users of the Platform have sole responsibility for storage of any wines traded or exchanged on the Platform.

  1. GOVERNING LAW

These terms and conditions shall be governed by and construed in accordance with the laws of England, and any disputes will be decided upon only by the English courts.
